What is SPICe?

SPICE means Simplified Performa for Incorporating Company Electronically.

The Ministry of Corporate Affairs (MCA), recently introduced SPICe form or Form INC-32, which is an integrated single point application for:

• Reservation of Company Name

• Incorporation of a New Company

• Allotment of DIN for Directors

• Application for PAN/TAN


The SPICE form was introduced with a function to prepare e-Moa & e-Aoa (Electronic MOA/ AOA). Earlier if a Person wants to incorporate Company then it has to apply for the DIN, Approval of the Name Avaibility, Separate form for first Director, Registered office address, PAN, TAN etc. But this form is a single window for Incorporation of Company.

A new incorporation procedure is applicable online with effect from 23 February 2020. A new company has to fill in Form SPICe+ for incorporation and incidental registrations. The existing SPICe form for incorporation is required only where the name approval has been obtained before 23 February 2020, and in case of resubmission of SPICe form already filed.we are the best income tax E-filing & gst consultant in bangalore, chennai & delhi.


Types of companies who can use SPICe – Form INC-32-

There are certain companies that can use Form INC-32 to be incorporated in India and are as under-

i. One Person Company

ii. Private Limited Company

iii. Public Limited Company

iv. Section 8 Company

v. Producer Company

vii. Company with foreign Subscribers

The due date for filing return with the Income Tax Department of India is 31 July every year This is subject to change only if a directive to this effect is issued by the Income Tax Department or the Ministry of Finance, India. The Financial Year ends on 31 March every year.So Assessee has a period of four months to prepare their Income Tax Returns

Process of filling the form

1. RUN Name Reservation:


A web-based application is to be filed for reserving the Company Name, if the name is to be reserved first before filing the documents. The name approved under RUN Process is valid for a period of 20 days from the date of approval. Company Incorporation documents are to be filed within the validity period of Company Name.


2. Preparation and Filing of Company Incorporation Documents with MCA:


Company Incorporation Process consists of preparation and filing of the flowing E-Forms:

• e-Form INC-32 - Simplified Proforma for Incorporating Company Electronically (SPICe)

• e-Form INC-33: e-Memorandum of Association (SPICe MoA)

• e-Form INC-34: e-Articles of Association (SPICe AoA)


All the documents executed / notarised / attested as per documentation requirements has to be attached to the e-Form INC-32 / 33/ 34 and the e-Forms has to be digitally signed with the Digital Signature Certificate (DSC) of all the proposed shareholders / representatives.

There is NO Registration Fee payable for filing of e-Form INC-32 for all type of Companies if the authorised capital is less than or equal to Rs.10 Lakhs at the time of registration. However, filing fee for e-Form INC-33 / 34 and stamp duty is applicable for registration of any Company.


3. Processing of e-Forms by the office of Central Registrar of Companies:


The Central Registration Centre (CRC) processes the application and if found the details / documents are in order, the Central Registrar of Companies shall register the Company and issue the following:

• Company Incorporation Certificate.

• DIN for Directors

• Permanent Account Number (PAN)

• Tax Collection and Deduction Number (TAN) to the New Company.


Features of SPICe (inc-32) form:

• Maximum details of subscribers are SEVEN (7). In case of more subscribers, follow the normal incorporation procedure in INC-7.

• Maximum details of directors are TWENTY (20).

• Maximum THREE (3) directors are allowed for filing application of allotment of DIN while incorporating a Company.


• Person can apply the Name also in this form.

• By affixation of DSC of the subscriber on the INC-33 (e-moa) date of signing will be appear automatically by the form

• Applying for PAN / TAN will be compulsory for all fresh incorporation applications filed in the new version of the SPICe form.

• No need to file separate form for first Director (DIR-12).
